RABBITHOLES® SAMPLE PURCHASE AGREEMENT

WHEREAS Rabbit Holes Media Inc. (the “Company”) is offering to sell 3-D holographic prints in the RabbitHoles medium (“RabbitHoles®”) at a discounted rate to the Customer for Sample purposes, the Customer agrees to be bound by the terms and conditions set forth below,
NOW THEREFORE, the Company and Customer agree as follows:

• Upon completion of the preceding form, checking the box indicating “I agree to the terms of service” and clicking the Submit button, Customer shall become a Party to this Agreement. 
• Upon receipt of the Form, Company shall send Customer an invoice for the total amount in $US dollars plus applicable taxes, freight and insurance.
• Following receipt of the above-noted invoice from the Company, Customer shall have five business days in which to make payment to the Company.
• Upon receipt of payment, the Company shall print the RabbitHoles® 3-D Motion holograms ordered by the Customer and will deliver to the Customer a RabbitHoles® Sample Package ( “Sample Package” or the “goods”) for each print ordered consisting of (note that the size of the below components will be dependant on kit ordered by the Customer):
• one framed RabbitHoles® 3D Motion Hologram of the image selected by Customer;
• one frame;
• one custom-cut black matte board; and
• one custom TechLighting Picture Light.
• Customer covenants that:
• the Customer shall respect the copyright of the underlying artwork of the RabbitHoles® prints that are purchased and shall not reproduce, copy and/or modify the artwork without express permission of the copyright holder;
• the Customer shall, at all times while displaying or showing the RabbitHoles® prints to a third party, keep the RabbitHoles® logo visible, unobstructed, and unmodified from its original form and position as printed on the image.
• Warranty: The Company warrants the contents of each Sample Package to be free of all defects due to its manufacture.  This warranty is in lieu of and supersedes any and all other representations, commitments and warranties, express or implied, including any warranties that the goods will be fit for any particular purpose.
• Limitation of Liability: Any claim as a result of this Agreement shall be limited to the price of the Sample Package. The Customer hereby indemnifies and holds the Company harmless for any other claims arising in respect of damages and injury resulting from use of the Sample Package(s).

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein and each of the parties hereto agrees irrevocably to conforms to the exclusive jurisdiction of the Courts of such Province, and expressly waives any objections or defence based upon lack of personal jurisdictional or venue.
