RABBITHOLES ARTIST PACKAGE AGREEMENT

WHEREAS Rabbit Holes Media Inc. (the “Company”) is offering to produce 3-D holographic prints in the RabbitHoles Medium (“RabbitHoles”) at a discounted rate for the Artist, the Artist agrees to be bound by the terms and conditions set forth below,

NOW THEREFORE, the Company and Artist agree as follows:

1. Upon completion of the preceding form, checking the box indicating “I agree to the terms of service” and clicking the Submit button, Artist shall become a Party to this Agreement. 
2. Upon receipt of the Form, Company shall send Artist an invoice for $500 US plus applicable taxes, freight and insurance.
3. Following receipt of the above-noted invoice from the Company, Artist shall have five business days in which to make payment to the Company by PayPal.
4. Upon receipt of the funds the Company will send Artist an FTP link to send Artist’s unique 3-D imagery (the “Imagery”) to the Company.
5. The Imagery must correspond to the specifications indicated on the Company’s website.
6. Upon receipt of the Imagery, the Company will ensure that the Imagery is not offensive, pornographic, unlawful or in any other way inappropriate for the RabbitHoles Medium.  The Company reserves the right to reject any Imagery that it deems inappropriate.
7. Prior to printing the Imagery, Company shall verify that the Imagery is properly optimized for the RabbitHoles Medium and it may request that the Artist make some design changes in order to obtain the best results.
8. Upon receipt of final Imagery, the Company shall print a 7” x 10” RabbitHoles 3-D Motion hologram of the original artwork and will deliver to the Artist a RabbitHoles Artist Package consisting of:
   • one framed 7" x 10" RabbitHole 3D Motion Hologram of original 3D artwork.
   • one custom TechLighting "Josha Picture Light".
   • Additional copies of the RabbitHole (with frame and light) may be purchased for $200 US plus applicable taxes, freight and insurance.
9. Artist agrees that the Company shall be entitled to use the Imagery for marketing and demonstration purposes without further obligation to Artist.
10. In the event that the Company wishes to sell RabbitHoles of the Imagery, the Company and Artist shall enter into a separate Art Publishing Agreement.
11. Statement of Liability: The Artist warrants and represents that he or she owns the copyright to the Imagery and that those works do not infringe the copyrights, trademarks, right of privacy or any other intellectual property rights of any third party. The Artist hereby indemnifies and holds the Company harmless for any claims arising from a violation of the above warranties.

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein and each of the parties hereto agrees irrevocably to conform to the exclusive jurisdiction of the Courts of such Province, and expressly waive any objections or defence based upon lack of personal jurisdictional or venue.
